Buy Commercial Property in Malta

During the past five or six years, the Commercial Letting market has really started to boom and unlike other property markets in Malta, it has yet to reach its peak. Rather than purchasing the premises, more companies and individuals are opting to lease the commercial property required for their operations.

This three-part article will delve into the subject of commercial letting itself, both from an owner’s perspective (Lessor) as well as that of the tenant actually leasing out the premises, known as the Lessee. It will also highlight all the important factors to look out for when considering a commercial property.

The first factors are the financial liquidity of a business and the competition it faces. Since Malta is quite a relatively limited market in terms of the actual number of consumers when compared to other European countries, expenditure must be extremely controlled since substantial initial outlays would not necessarily mean result in increased potential revenues.

Maltese consumers are very price-sensitive. Consequently established or new businesses must have a business plan in line with the market situation and endeavor to achieve the projections which include the return on the investment when purchasing new premises. If a business is forced to increase the market prices or services it offers to be able to achieve this, the chances are that the business would not do very well.

Other factors contributing to commercial letting being on the rise include the potential of significant growth in a shorter-than-usual space of time. With the EU freedom of movement, foreign investment (and tax benefits for setting up operations here in Malta) and consumers in general having more purchasing power year in, year out, a business can outgrow the premises it is operating from within a few years. Leasing the premises, rather than purchasing it, enables the company or individual to move into a larger space much easier than having to sell its current place of business and purchase a new one.


Rental Investment

When one is looking for commercial property as a form of investment one must consider various factors before actually deciding if the time, money and effort will be worth the ‘risk’ of taking such an important, financial step.

Many prospective investors first become interested in purchasing a commercial property (or developing one) for the simple reason that leaving money in a bank will only render about 3% of return during the year. Another reason commercial investment is very attractive is because of the uncertainty revolving around investments in various funds and schemes due to the volatile nature of the financial markets.

Property is generally a much safer form of investment as the value almost always increases or in a worse-case scenario, remains the same. This is not to say that some investors have not lost money in doing so but if one sits down and does a bit of research before parting hands with his or her, hard-earned cash, one will be looking at a very secure, sound investment which generates a rewarding return in both the short and long term.

What has to be considered after the decision is taken to purchase a commercial property with the intention of leasing it out? The first and most important factor is the yield.

Yield is another word used for Return on Investment (on properties) and the basic formula to calculate the Yearly Yield is:


YIELD =   Total Annual Rental Income / Cost of Purchase


One then simply multiplies the result by 100. But how exactly is yield calculated? As seen above the formula is quite simple to follow but to be as accurate as possible one has to consider a few matters. For this reason a Gross Yield figure and a Net Yield is shown below using the following example:


  • Property Purchase Price:    €250,000
  • Monthly Rental Income:    €1,500


For any yield figure one must never forget the Stamp Duty, which at present (June 2016) is 3.5% on the first €150,000 of the value of the property and 5% on the remaining value. With this in mind, one knows for a fact that on top of the €250,000 purchase price, a total Stamp Duty of €9,500 must be paid to the Government.

The Total Annual Income also comes with a 15% declared income tax which the owner must pay to the Inland Revenue Department so out of the €1,500 monthly rent i.e. €18,000 Yearly Income, €2,700 must be deducted on an annual basis. If the leasing is being done between two registered companies (Company A is leasing a property to Company B) the Lessee must also pay €270 representing the 18% VAT on top of the €1,500 monthly rent.

So a Gross Annual Yield would be as follows:


Gross Yield   =     €18,000 – €2,700

€250,000 + €9,500


This would mean €15,300 divided by €259,500 and multiply the answer by 100, which leaves the Lessor a Gross Yield Percentage of 5.896% on the first twelve months. The Net Yield Percentage for the first twelve months would be closer to around 4.9% if one had to include any additional costs, such as Permit Applications, cost of finishing the premises or even furnishing it, etc.

In the second year and depending on the terms of the Agreement signed between both parties, the Annual Yield would start to increase if there was to be a predetermined increase in rent value. In most cases, an increase of between 3% and 5% annually is quite normal so the Lessor would then be receiving (based on a 5% increase) €1,575 monthly so the Annual Yield (after deducting the 15% declared income tax) would increase to 6.190%


Type of Property and Location

Once the investor has decided and accepted the annual yield for the investment the decision has to be made on the type of commercial property for purchase as well as the location. For example, there is a huge difference in purchasing a property intended to be rented out as a retail outlet from that which would be rented out as a restaurant.

Aside from the difference in size, the location (in a town or city and even the physical location of the property itself) is also of the utmost importance. A retail outlet, such as an electronics store, would not face many permit and logistical issues being located in St Venera next to a residential block. In fact, it would be very beneficial to open such a store! However, purchasing a commercial property intended to be transformed into a large restaurant within the same confines is next to impossible to develop. It also makes no sense. All this does seem a bit trivial but one would be surprised of the amount of unexpected issues a Lessor can face if the decision of what and where to purchase is not carefully considered.

Other important features to look for before purchasing (if the premises are already built) include the total actual space (Square Meters) which can be used for commercial activities, not including a bathroom (for example) and store. One must also keep this in mind as too little space or too much space can actually work against finding a potential Lessee. Another very important factor to consider are the permits which are already in hand / that can be obtained however this will be explained in another article.

MEPA Permits and Applications

The Malta Environment and Planning Authority has recently been separated into two different entities; the Planning Authority and the Environment and Resource Authority. Technically, the title of this particular subject should read PA Permits and Applications but we wanted to ensure everyone knows of the above change in Organization before referring to the Authority by its new name.

For those who are completely new to the subject, here is a list of the Commercial Property Categories which fall under the Planning Authority Permit Guidelines.


Category B (Class 2) Social Uses

  • 2A – Residential Institutions such as hospitals, care homes and medical clinics
  • 2B – Non-Residential Institutions such as art galleries, museums, libraries and halls
  • 2C – Educational Institutions such as nurseries, day care centers, school and colleges


Category C (Class 3) Tourism & Leisure Uses

  • 3A – Low-Scale Accommodation such as hostels, guest houses and boutique hotels
  • 3B – Large- Scale Accommodation which is the use of a hotel
  • 3C – Public Assembly and Leisure such as cinemas, gyms, indoor sports arenas and pools
  • 3D – Marine Leisure such as yacht marinas and diving schools


Category D (Class 4) Commercial Uses

  • 4A – Professional Spaces such as offices, hair salons, tattoo parlors and beauty parlors
  • 4B – Retail such as retail outlets and showrooms (excluding motor vehicles)
  • 4C – Food & Drink Establishments (no cooking) such as bars and ice cream vendors
  • 4D – Food & Drink Establishments where cooking is allowed such as a restaurant


Category E (Class 5) Industrial Uses

  • 5A – Light Industry such as small woodshops or assembly lines
  • 5B – General Industry such as factories and motor vehicle mechanics
  • 5C – Specialized Industry such as distilleries, coal refineries or gas plants


Category F (Class 6) Storage and Boathouse Uses

  • 6A – Storage and Distribution such as warehouses or industrial garages
  • 6B – Boatyards such as boat garages, boat repair shops and boat manufacture


Category G (Class 7) Agricultural Uses

  • 7A – Using fields to grow crops and raising animals


Category H (Class 8) Aquaculture Uses

  • 8A – such as fish farms


As is clearly visible, the list of categories and sub-categories is vast but this makes applying for a permit much more straight-forward. The Lessor however, still needs to research a few more things before deciding which permit to apply for. The Planning Authority is very strict in what type of commercial entity can be developed in a particular zone and as such, one must make use of the Official Map Server found on the PA website –

This tool provides accurate and detailed information about each particular zone in Malta and all the restrictions too. One can locate the exact GPS Position (Latitude and Longitude) of the premises from this tool and based on the location, the PA rules for the particular zone can be obtained to find out what can and cannot be developed as a commercial property. A qualified architect is usually brought in at this stage to verify all the possibilities and restrictions.

The last (and most time-consuming) part would then be obtaining the Permit itself. Of course, many premises already hold the permits they were designed to have for their particular use but it is always recommended to double check and ensure no infringements are in place. A new development would need to go through a FDP (Full Development Permit) process to obtain a permit whilst some properties would only need a change in Class.

So how does one establish what is needed for the permit and how does one go about it? Put simply, a ‘change of use’ permit is very straight forward, such as changing a retail outlet to an office (4B into a 4A). If the property is within the set guidelines, this change usually takes no longer than four weeks to be processed and comes with a fixed fee of €250. A Full Development Permit takes approximately four months to be issued (either for a new building or, for example, changing from a 4A to a 2C) and one must conform with much stricter guidelines. The cost also varies based on the type of permit required, actual size of the property and so on. Environment Fees also need to be considered and FDP costs can exceed €10,000 in total so one must carefully research and plan what is needed.


How much to invest?

This is a very broad question/ subject and of course, one must look at his or her personal financial status when considering the amount of money that can be comfortably spent on an investment. It is always vital to have a decent, significant amount of liquid cash left over in any purchase and rental investment is no different. Financial institutions in Malta, such as Banks, do offer financing which is specifically there for such investment though rates are usually slightly higher than personal or home loans.

The amount to invest does not always correlate with a higher annual yield, so it is more of a case of “How much am I willing to invest on a property based on its actual value?”

Example 1

  • – Total Spent – €2,000,000
  • – Monthly Rent – €5,000
  • – Annual Rent – €60,000


Gross Yield on Year 1 (based on the formula used in Part One of this series) would be of 2.85% after taking into consideration the €105,000 of Stamp Duty which needs to be added to the Total Spent.

Example 2

  • – Total Spent – €500,000
  • – Monthly Rent – €2,000
  • – Annual Rent – €24,000

Gross Yield on Year 1 (using the same workings) would equate to 4.59% so even though the Lessor in Example 1 would be getting more actual money than the one in Example 2, the latter would be getting almost double in terms of return on investment!



One of the great misconceptions here in Malta is that a Premium can be charged in any scenario and that the amounts can be made up on impulse. In our experience, unrealistic Premium is one of the most common reasons for a deal to fall through.

In simple terms, a premium is a fixed sum of money a property owner can demand when selling or leasing out a commercial property. This can represent a form of goodwill (in case the brand is remaining with the new Lessee) or used as a form of remuneration/ compensation for any special work done to the premises or installation of equipment. In some cases, a premium is asked as a direct replacement of a high monthly cost.

Some justifiable cases (in continuation with the above argument) for demanding a premium are:

  • – Having spent a lot of time and money in building the brand / actual property up
  • – Investing a significant amount of funds in equipment, usually the case for bars and restaurants
  • – Spending a larger-than- usual sum in finishing and furnishing the property
  • – Passing on the trade onto the new Lessee


A few of these cases can work against finding a Lessee and will be discussed in the final part of this article. Unfortunately, some Lessors also ask for a premium for no particular reason except to try and cash in on their investment a little too quickly. One must keep in mind that whilst someone is willing (and able) to pay an extra sum just because the property itself has massive potential, the Lessee has to retain liquidity in the event that the business does not live up to expectations at the start.

Think about it this way – if you have found an excellent Lessee to lease your premises and are comfortable with receiving just the rent (at a fair price) would you risk your Lessee not having enough money in case of the above or to reinvest into the business and potentially terminate the agreement early? Commercial Property Investment is a long term investment and whilst everyone has the right to receive the funds they feel justifies their effort and investment, being in this market for the ‘quick buck’ will not work.

Do’s and Don’ts of Commercial Property Investment – Lessor


  • – Ensure that the property you choose to purchase has the potential of reaching your return on investment expectations
  • – Ensure that the PA permits required for the type of business you have in mind are up to date and in hand before leasing the property
  • – Make sure that you have checked the market price before deciding on the rental value of the property
  • – Ask your commercial property agent to at least make a basic background check on a Lessee before committing to lease it
  • – Check that all utility connections and fixtures are in working condition and repair any damages before handing over the keys to the new Lessee


  • – Rush into purchasing a property without having a notary and architect check that everything is according to code and safety regulations
  • – Expect that every single potential Lessee will appreciate or even like the property and / or effort you have put into it
  • – Lease your property to someone without being 100% happy with who the person or company is
  • – Ask for a random monthly / annual rent value or Premium without checking what else is on the market
  • – Spend a lot of money finishing the property based on your own personal tastes; leave the new Lessee the option to have the premises done to their own specifications
  • – Change the terms of a deal after everything has been agreed
  • – Ever forget that you are entering into a long-term relationship with the Lessee as well so respect the business whilst ensuring they respect your investment

In conclusion, any type of property investment can render a significant return if proper planning and execution is prepared before you part ways with your money. Commercial Letting is a booming market and one which benefits from much more stable prices than residential letting i.e. your expected return on investment forecast should match the outcome if done properly.
